Seeing the Two-Way Street

Understanding How Due Diligence is Performed by Both the Buyer and Seller

Traditionally, the buyer performs due diligence. However, smart sellers know that it's a two-way street. After all, for both parties it's important to truly understand each other, to make sure that the other is strong and a "good fit", and to uncover possible alternatives to acquisitions. And most important, the seller doesn't want to get burned. Nothing could be worse: You give a chunk of your life's energies into building a company, and then you sell it to a con artist who "pays" you with a small lump of cash and a big pile of worthless stock certificates.

Blending Strategic Values Together
Increase Your Business Performance

"Shareholder-Value Extremism" - sounds like a mouthful, doesn't it? The question is what is it, and how does it apply to a business? This term is a name for a strategic ideology whose focus is to pursue value at all costs.

Although SVE enriches both executives and some shareholders over the short term, it fails to generate any real gains for the majority of shareholders, customers and employees. The reason for this is that it distorts the social, political and economic beliefs and behaviors that are required for success in the 21st Century.

PEO Makes Running Your Own Business Easier

It's 9 p.m. on a Tuesday, and you're still at your desk. As much as you'd like to call it a night and head home, you can't fathom the idea: revenues are stagnant, a new competitor just opened its doors last week, and you still have to prepare for a crucial meeting tomorrow morning. But that's not all. Payroll taxes are due on Thursday, the new OSHA, ERISA and COBRA forms are waiting in your in-basket and, worse yet, your favorite employee -- the one who stuck with you through the tough times and the triumphs -- is leaving your company after being lured by an upstart rival who offered bigger bucks and a better benefits package.
